 The Senior Corporate Counsel – Mergers & Acquisitions (M&A) reports directly to the Assistant General Counsel and is based at the Company’s Secaucus, NJ, headquarters.  Senior Corporate Counsel is responsible for drafting and negotiating a wide
range of commercial contracts, with a concentration on mergers and acquisitions.  S/He will provide direct support for mergers and activities, performing due diligence, drafting, negotiating and communicating risks to manager, senior leadership and BD professionals.

Duties and Responsibilities Include:

- Draft diligence reports and agreements typically used in M&A, participate in diligence sessions, attend meetings and structure transactions, with guidance from internal tax team - Providing all legal services necessary to support enterprise-wide growth initiatives for the Business Development function - Legal support for range of commercial activities (drafting and negotiating contracts, including for
procurement, provider and health plan services) - Counseling clients on a range of business and legal regulatory issues, including STARK and fraud and abuse laws- Develop training for clients and perform training for assigned areas


The successful candidate for Senior Corporate Counsel will have the following
attributes and/or experiences:

- Minimum of 7 years prior in healthcare business law is required, including experience
in commercial mergers and acquisitions/transactions and contracting 
- Must be duly licensed to practice law
- Strong educational background including an undergraduate degree and JD are required
- Requires the ability to lead and influence leaders on areas within subject matter
-  Excellent communication skills 
- Strong corporate, commercial or transactional experience
- Corporate M&A experience, including public and private transactions on buyer’s and seller’s side, commercial transactional experience preferred
- Expert drafting, communication and negotiation skills
- An understanding of how to support the achievement of business objectives while considering the regulatory landscape-  Preference for health care law background 
- Ability to run deals
- Demonstrated ability to interface effectively with all levels of staff, management and executives
- Occasional travel is required
