General - Compensation:

Responsible for the continued development, coordination and communication of compensation programs, including equity programs; Recommend modifications to maintain the organization’s objectives and competitive position in the marketplace.
Partner with HR Leadership to coordinate Total Rewards alignment to performance management approach, career models, and high potential programs.
Work with outside consultants, coordinate RFP’s, manage contract negotiations supervise vendor selection as needed for management of compensation and equity programs.
Oversee vendor selection; monitor and manage selected vendors against service level agreements and effectiveness.
Responsible for the annual salary increase/merit program and promotion.
Design employee level job classification, grading structure, job analysis and evaluation methodology, including market pricing, internal equity review, and pay mix.
Oversee the final incentive award recommendation process to assure alignment with performance, adherence to budgets, and compliance with approvals.
Prepare annual Compensation budget, quarterly forecasts, and work with Executive and Compensation teams on recommendations and allocations.
Provide business partnership & internal consulting on all compensation issues, including market trends, competitive data, and applicable laws/regulations.
Provide guidance on escalated and/or complex compensation issues .
Monitor the effectiveness of the compensation programs, processes and practices, and recommend revisions to ensure equitable and competitive programs .
Conduct analysis of jobs, salaries, variable pay and other rewards in order to evaluate internal equity, external competitiveness, and legal compliance of the pay practices

Executive Compensation/Equity Plan Management:

Create Board of Director materials and attend Compensation Committee meetings.
Work with Assistant General Counsel in creating and publishing annual proxy materials, including Compensation Discussion and Analysis (CD&A).
Design and manage all elements of executive compensation, including cash and equity programs, ensuring integration and alignment of executive pay with overall company goals and objectives.

Be the internal consultant and expert for executive compensation best practices, industry trends, legislative regulations, compliance issues, and market competitiveness.

Communicates compensation and equity plans to senior executives in all compensation elements, including base pay, incentive and equity plans. Conduct competitive compensation benchmarking for executive population. Prepare compensation recommendations for senior leadership positions and analyze and update the salary range structure for executive level positions, as necessary.
Monitor dilution impact of Long-Term Incentives and maintain adequate levels of shareholder impact on equity practices


Build organizational capabilities with a small team of direct and indirect professionals to ensure timely completion of deliverables.

Undertakes regular and frequent financial reporting to continuously ensure results are meeting or exceeding commitments on all initiatives/projects. Oversee global compensation department budget to ensure compliance with organizational expenditure requirements.

Functional Experience



Compensation program design, management and administration

(Grading structures, STI, LTI, etc.)

10+ years of progressively responsible experience; A minimum of 5years in a leadership role; minimum of five in executive compensation


Executive compensation regulations expertise


Proxy management – creation


Board of Directors – Compensation Committee Material Development


Board of Directors - Presenting experience


M&A funnel, due diligence, integration planning deal execution


Industry Sector and Company Experience

Exposure to/experience in diversified industrial business, with emphasis in highly engineered products


Global experience



Undergraduate degree in Business Administration, Management, Finance, Accounting, Human Resources, or other related field


MBA or similar
