Specific job duties in this particular position: Engage in commercial transactions, strategic initiatives, such as Mergers & Acquisitions (M&A), and business operations for Entegris and subsidiaries in Asia, specifically South Korea. Provide legal counseling to senior executives and other business team members. Deliver legal services as Business partner, including drafting contracts, M&A supports, negotiations, advising on various legal matters. Advise on, review, draft and negotiate commercial contracts, including multi-jurisdictional transactions in English and in Korean. Support the business strategies of Specialty Chemicals and Engineered Materials Division based in US and South Korea. Create and provide compliance training, including providing localized training and communications to US and Korean employees, focusing on compliance with the Code of Business Ethics and with legal requirements. Manage corporate governance, including preparing materials for board of directors and the annual shareholder meetings in South Korea. Manage litigation/arbitration being prosecuted or defended as requested, including in South Korea. Support acquisitions and other corporate initiatives, particularly in South Korea. Manage outside counsel related to a wide variety of legal matters, including securities law, anti-trust, compliance and other matters. May travel to Korea twice per year.
Job Requirements: Juris Doctorate (JD) with 4 years’ experience as an attorney practicing M&A, international commercial contracts, and corporate compliance.
Must have 3 years’ experience with the following:
JD from American Bar Association accredited law school
Law license in at least one state in U.S.
Fluency in speaking, writing, and legal drafting skills in English and Korean.
May travel to Korea 2 times per year
