This is a position for an attorney with experience managing a broad range of day-to-day commercial and corporate legal needs, including drafting a variety of commercial and intellectual property-related agreements. This attorney will be based in San Diego, California.
All About You
•Drafting, negotiating, and counseling internal teams on commercial and intellectual property contracts, including sales, service, distribution, supply, collaboration, licensing, software, and marketing agreements;
•Negotiating terms and conditions for sales transactions in partnership with our contracts team;
•Working closely with our business teams to review and revise business documents to accomplish company goals and improve legal processes and procedures;
•Developing and improving processes that support contracting with our customers, vendors, and collaborators;
•Advising on the various legal risks, business strategies, and other issues related to commercial and intellectual property deals in a very competitive and fast-paced environment;
•Partnering with business development, supply chain, scientists, sales, finance, accounting, and other stakeholder teams to ensure agreements are consistent with internal corporate policies and processes; and
•Performing other duties as assigned.
All listed tasks and responsibilities are deemed essential functions to this position; however, business conditions may require the performance of additional task and responsibilities.
•7-9 years of relevant legal experience;
•Extensive experience with commercial contract matters;
•Expertise with software and data-oriented transactions preferred;
•Strong work ethic, a sense of urgency, and high level of responsiveness to competing deadlines;
•A practical business mind with a focus on balancing competing legal and business; considerations to obtain practical solutions and business-oriented results;
•Ability to develop and maintain strong relationships with internal business clients;
•Must have exceptional attention to detail, clear written and verbal communication skills, and strong negotiation skills;
•Experience with intellectual property agreements preferred;
•Undergraduate or advanced degree in business or technology preferred; and
•In-house experience preferred.
•Law degree (JD or equivalent) with excellent academic credentials and a license to practice in a minimum of one state in the U.S.
