Position Specific Description

NextEra Energy is seeking an experienced transactional attorney for NextEra’s emerging third party insurance business. The preferred candidate will have significant experience in mergers and acquisitions in the insurance industry. Relevant transactional experience involves M&A regarding domestic and international insurance and reinsurance companies, insurance brokers, and investors in the insurance industry including policyholders, private equity firms, and hedge funds. Experience in a variety of insurance contexts, including public and private securities transactions, institutional private placements, financings, and joint ventures is preferred. Prior work in a wide range of insurance matters, including bulk reinsurance arrangements, group restructurings, demutualizations, renewal rights transactions, commutations, licensing, solvency, and regulatory matters is required.

The applicant must be a team player with a demonstrated commercial acumen who relates well with clients, management, and counterparties and who can thrive in a fast-paced, demanding environment. Employees in this job will participate in complex legal matters and projects and deliver timely and quality legal services to clients with minimal supervision. The successful candidate will be responsible for drafting and leading the negotiations of purchase and sale agreements, joint venture and partnership agreements, financing documents, and other commercial agreements related to the insurance industry.

Job Duties & Responsibilities

• Provides legal advice and service on complex legal issues and examines facts and law to determine advisability of defending or prosecuting lawsuits
• Represents the company in litigation, regulatory proceedings, government investigations, and legal transactions
• Ensures compliance with company Code of Business Conduct and Ethics and ensures reporting of potentially material legal issues to audit function and senior management
• Performs other job-related duties as assigned

Required Qualifications

• Juris Doctorate
• Experience: 10+ years
• Member in Good Standing of State Bar
