Position Summary

The Senior Director manages and governs the Finance Merger and Acquisition portfolio. Provides Finance Leadership, program management, ensuring integrity of financials. Must be involved from the start of assessment of potential targeted acquisition to deal close through Integration. During the entire process, he or she must work collaboratively with all the functions e.g. Corporate Development, Global Business Units, Legal and Tax, Audit. Manage the third party engagement. Ensure the Corporate Controller, CFO and Business Unit Finance Head are informed of progress, major issues/mitigation/alternatives. Will directly manage the M&A portfolio and lead a group of M&A program managers and specialists. Will strongly influence various Finance, BU, and Function leaders in both HP and acquired entities.

Focus areas

  • Partner in the deal evaluation to approval, signing, closing and integration of financials into HP’s financials and ensuring adherence to HP polices/practices
  • Translate the integration strategy into executable plans with appropriate budgets and enable consistent integration results within budget
  • Ensure through Due Diligence of all accounting, policies/practices harmonization, and alignment to HP, identify potential risks and mitigate control risks
  • Ensure all the financial processes and support in place to enable deal close and day 1 business operation. Minimize disruption to the business while executing on the integration strategy
  • Enable deal value creation

Key Responsibilities

  • Pre-signing - Manage due diligence, working capital, Quality of Earning and third-party valuation alignment with Tax, Legal, GBU, Corp Dev Head. Ensure IMO and potential dis-synergy budget is developed and aligned with Corp Dev Head and GBU Finance deal head.
  • Post signing to close and Day 1 operation- Pull appropriate finance team together. Develop detail finance plan for deal close, integration and Day 1 operation aligned to deal close date. Set up appropriate team, cadence and ensure on time delivery of all the planned activities.
  • Set up regular reviews with the Corp Controller, CFO and CFO staff.
  • As a member of the deal and IMO team be an active participant/business partner and work closely with the IMO head
  • Provide clear process for IMO costs charging and clear direction on GAAP and non-GAAP costs
  • Develop plan for onboarding finance employees from the acquired company

Requirements

  • First level university degree with a focus in business or economics; advanced degree and/or accounting certification (e.g., CPA, MBA) strongly preferred.
  • 12+ years of experience in a finance function or exhibiting an exceptionally strong background in some other relevant and applicable area of business.
  • 8+ years of people management experience.

Knowledge and Skills

  • Proven executive leadership, excellent communicator both written and verbal, ability to lead major programs from strategy to final delivery.
  • Broad knowledge of General accounting application and relevance to M&A
  • Superior ability to provide finance consultation to senior managers within area of expertise.
  • Superior understanding of accounting principles and financial analysis.
