The Challenge

Serve as a key member of the commercial Legal team, primarilysupporting theappliance sales, including the US Sales and International Sales functions.  

What you will Do

   

  • Provide strategic legal and business guidance to the appliances sales team, including being the primary legal member of the retailchannel and international sales team.
  • Negotiate, review, and draft commercial agreements that drive profitable sales while mitigating risk in accordance with internal risk profiles.
  •  Effectively interface directly with external customers and internal clients.
  • Provide timely legal advice, counsel and risk assessment to internal business clients.
  • Assist with a wide variety of legal issues related to product distribution, including managing dealer terminations and providing counsel on marketing, advertising and pricing issues. 

Transactional Serve as a member of the Legal transaction team, including.     

  • Review, draft and negotiate procurement agreements that drive profitable purchases while mitigating risk in accordance with internal risk profiles.
  •  Effectively interface directly with external vendors and internal clients.
  • Provide timely legal advice, counsel and risk assessment to internal business clients.
  • Assist with creating a COE in transactional practices for both the procurement and sales functions.
  • Negotiate and provide legal support in other strategic transactions, including mergers & acquisitions, strategic partnerships, and joint ventures.
     

What you need to Succeed

Minimum Qualifications:

  • Juris Doctorate from an accredited law school with active bar membership, in good standing, in any US state and ability to gain admission to the Kentucky Bar as in-house counsel.
  • 7 - 10 years practicing law in a law firm or corporate legal department, with focus on commercial transactions, general business law, commercial litigation, distribution law, mergers and acquisitions, or similar field.
  • Dynamic, positive, proactive, and creative thinker with effective problem-solving skills.
  • Demonstrated experience identifying and resolving legal issues quickly and effectively.

Preferred Qualifications:

Experience with any of the following subject matters:

  • UCC contract negotiation and drafting agreements
  • International Sales
  • Commercial (UCC) litigation,
  • general liability insurance
  • antitrust law
  • UCC contract negotiation and drafting agreements
  • construction law
  • In house practice, especially supporting product distribution for a major manufacturing company.
