What you will be doing

Under the general direction of a managing attorney within the Legal Department, this position provides a variety of legal services and support for MWI Animal Health, Integrated Commercialization Solutions, Xcenda and other business units of AmerisourceBergen. The Senior Counsel will act as a proactive business partner in achieving the company's business goals and objectives, while protecting the company's interests from a legal perspective by identifying and managing risks and delivering timely, effective and efficient legal advice.

PRIMARY DUTIES AND RESPONSIBILITIES:

  1. Primarily support the company's commercial transactions, with secondary focus on supporting general legal functions as needed.
  2. Draft, review, and negotiate a wide variety of commercial contracts, including pharmaceutical distribution agreements, supply agreements, confidentiality agreements, service agreements, license agreements, IT and technology agreements, SaaS agreements, logistics agreements and consulting agreements.
  3. Ensure that contracts accurately reflect the business objectives and comply with applicable laws and regulatory requirements.
  4. Anticipate and guard against legal and business risks and work with business clients and outside stakeholders to minimize the company's risk.
  5. Appraise and keep management informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of the company.
  6. Work collaboratively with other associates in the Legal Department, as well as company executives and business unit leaders.
  7. Select and manage outside counsel.
  8. Perform related duties as assigned.

What your background should look like (minimum qualifications)

Must have a minimum of 4 to 8 years of progressively responsible and directly related experience as a lawyer. Experience in a large law firm and/or the legal department of a public company is desirable. Must be a graduate of an accredited law school and admitted into the state bar.

The lawyer in this role is comparable to a senior associate or counsel in a law firm and is a lawyer who can do sophisticated work as an individual contributor (with minimal guidance and oversight from his or her manager in most instances) and/or supervise and project manage other individual legal professionals to do the work.

MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:

  1. Strong background in contract law, commercial transactions, negotiations and document preparation
  2. Experience in healthcare regulatory matters desirable, but not required
  3. Excellent interpersonal and communicate skills, both oral and written
  4. Experience in dealing with people at all levels inside and outside of a company and proven relationship building skills
  5. Goal and process oriented, with a demonstrated ability to evaluate risk and urgency, prioritize tasks and accomplish objectives in an efficient manner
  6. Hands-on attorney who can manage his/her own matters, with limited use or reliance upon outside counsel
  7. Outstanding judgment and ability to resolve complex issues effectively
  8. Strong negotiating skills
  9. Strong leadership skills
  10. Strong organizational skills; attention to detail
  11. Team player with passion, energy and commitment
  12. Knowledge of Microsoft Word, Excel and PowerPoint
