Job Description

Varian’s Legal team is looking for a talented and experienced M&A, corporate and securities lawyer to serve as the primary legal advisor to Varian’s corporate development team on acquisitions and investments globally and to assist on a wide variety of corporate governance matters.

Job Responsibilities:

  • Advise on Varian’s strategic M&A transactions globally, including acquisitions and equityinvestments
  • Structure and negotiate complex transaction agreements
  • Manage internal and external deal processes, including outside counsel
  • Work closely with Varian’s corporate development, finance, tax and other teams on M&A and special projects
  • Assist with corporate governance activities, 1934 Act filings, annual meeting proxy materials and maintenance of Varian’s foreign and domestic subsidiaries

Job Requirements

Minimum Required Skills and Knowledge

  • J.D. with strong academic credentials
  • 8+ years of experience working at a major U.S. law firm or comparable corporate environment with a sophisticated M&A/corporate practice. Prior public company in-house experiencepreferred
  • Demonstrated ability to lead a variety of complex corporate transactions, including substantial M&A transactions (domestic, international and cross-border) is required
  • Experience with corporate governance and public company SEC reporting preferred
  • Excellent project management skills, well organized, with the ability to manage numerous projects simultaneously under deadline pressure
