The Mergers & Acquisitions Counsel is responsible for managing and executing the Company’s diverse transactional docket, including acquisitions, divestitures, joint ventures, investments, material licenses and mergers, working with the Company’s Director, Global Corporate Law and M&A and its General Counsel, and the Corporate Development Department.

What will be expected from you?

In addition to project management, the M&ACounsel will be responsible for:

  • counseling and advising on all aspects of transactions;
  • conducting due diligence;
  • identifying business and legal risks/issues and proposing practical solutions;
  • negotiating, drafting and reviewing transaction documents;
  • coordinating legal and functional experts in due diligence and negotiation efforts;
  • managing outside counsel; and 
  • interacting with local and national cross-functional and corporate development teams

What are we looking for in the ideal candidate?

  • JD degree with excellent academic credentials
  • Licensed to practice and in good standing with an applicable state bar
  • Six to ten years of meaningful transactional experience, including significant M&A work, at a top tier law firm with a national practice
  • Some in-house transactional experience at a multi-national company a plus
  • Working knowledge of M&Amarket trends
  • Experience as a principal on transactions
  • Experience writing diligence memorandums, creating deal summaries and explaining complex transactional issues and terms in plain English
  • Demonstrated project management skills
  • Demonstrated ability to handle a fast paced, demanding work environment
