The Senior Attorney, Transaction Services, will work on a variety of complex, commercial contracts as well as strategic business transactions, including mission-related joint ventures, integrations, acquisitions and divestitures, from concept stage through post-transaction close-out. Working as part of a Transaction Services team and with other cross-functional groups (e.g., Finance, Tax, HR, IT, etc.), the Attorney will actively manage transactions from NDA through integration, separation or launch within the scope of the Association’s strategic development activities.
As a key member of the legal department, execute our strategic vision in connection with the review and implementation of transactional services for the organization
Support development of deal strategies and documents, including but not limited to non-disclosure agreements, due diligence, entity formation, contract review, external counsel management and governance
Support wide range of domestic and international contract activity, including acquisitions, mission-related joint ventures, divestitures, investments, IP development and licensing and other ventures
Assist business partners in identifying and mitigating risks during transaction negotiation and execution of the transaction
Explain contract provisions to business partners in a clear and concise manner
Research legal issues related to relevant transactions and provide legal opinions on issues
Review, draft and negotiate complex transaction documents and entity formations
Manage outside counsel on transaction reviews and other transaction matters
Responsible for updating and developing best-in-class templates and other tools to effectively support the Transaction Services process
Responsible for post-transaction legal support for business integration and other needs to complete the project and ensure effective knowledge transfer post-execution

D. from an accredited law school, a member in good standing of the Texas Bar; MBA a plus.
Minimum 7 years of relevant Corporate, M&A and complex commercial transaction experience (experience with non-profit organization legal matters a plus).
International contracting experience preferred.
Ability to interact comfortably with management; work independently; strong drafting skills; exceptional interpersonal skills; highly team-oriented.
