Job Description

NGM Biopharmaceuticals, Inc. is a private biotech company dedicated to discovering and developing the next generation of medicines for the treatment of serious diseases.  Our experienced scientific team has joined forces with an impressive group of industry professionals, Nobel Laureates and other distinguished researchers to form a company where innovation and cutting edge science has provided the foundation for a robust drug discovery engine.  To date, NGM Bio has generated a pipeline of six drug candidates in various stages of development, including NGM282 that recently demonstrated proof-of-concept in a Phase 2 study in non-alcoholic steatohepatitis (NASH).  In 2015, we entered into a broad, strategic collaboration with Merck that will provide us with the resources and flexibility to pursue our ambitious R&D goals and further extend our pipeline of novel drug candidates.

 

NGM is looking for a detail-oriented and enthusiastic payroll/equity manager. The best candidate for this full time position has a high sense of urgency, strong technical acumen in payroll, 401(k), and stock compensation, and displays exceptional customer service to all colleagues and Company departments. Working in the Finance group, this candidate owns the payroll and equity function, works closely with Human Resources, process payroll twice a month, administers the Company’s 401(k) and equity incentive plans, and is responsible for the accounting and reconciliation of compensation accounts. This position is a sole contributor reporting directly to the controller.

Required Skills

  • Process payroll twice a month, ensuring all forms of compensation are properly reconciled and paid timely
  • Process payment of expense reimbursement from Concur, carpool and commuter benefits through ADP
  • Manage ADP Workforce Now, and work with Human Resources to ensure completeness and accuracy of the information in the system
  • Record journal entries in NetSuite for payroll, vacation liability, 401(k) match, stock compensation, and warrants
  • Prepare monthly account reconciliations for all payroll, vacation liability and other benefits and equity accounts
  • Compile monthly FTE accounting file by internal project code for collaboration agreements
  • Reconcile payroll to Form 941’s filed by ADP on behalf of the Company, to ensure proper reporting and payment of employees’ tax withholdings quarterly
  • Detail review employees’ annual Form W-2’s for completeness and accuracy
  • Send annual Form 3921’s and 1099’s for option exercises, as required
  • Maintain CapMx and the Black-Scholes-Merton calculation for fair value, including periodic reassessment of the inputs to the calculation (volatility, risk-free rate, and expected term)
  • Prepare the Company’s capitalization table, and update the rollforward of the stock option pool
  • Prepare option grant documents, termination letters, and cancellation notices
  • Process option exercises and assesses tax liabilities, if applicable
  • Calculate basic and diluted weighted-average shares outstanding
  • Prepare payroll and equity footnote disclosures to the financial statements
  • Present to management on the state of payroll and equity, and provide data-driven suggestions for opportunities and improvements
  • Collaborate with outside vendors on administration of the Company’s payroll, 401(k), 401(m) and equity incentive plans
  • Take point on all payroll and equity related audits
  • Document duties in standard operating procedures and ensures internal controls are maintained
  • Provide exceptional customer service to all employees and stakeholders in the Company

Required Experience

  • Bachelor’s Degree
  • Minimum of 5 years’ experience accounting for payroll and equity incentive programs (options, RSUs, ESPP, stock modifications) in a fast-paced environment
  • Understanding of the Black-Scholes-Merton model and the inputs for determining fair value
  • Use of NetSuite and CapMx a plus
  • Demonstrated ability to meet deadlines, multi-task, and provide exceptional customer service
  • Strong organization and time management skills
  • Ability to communicate complex information (written and verbal) quickly
  • Proficient use of MS Excel
  • Excellent team work and collaboration skills
