Main Purpose of the Role:

We are actively seeking a Corporate Paralegal for a promising position within the Legal department. The Corporate Paralegal will report tolawyers within the legal department that support the primary markets business (Capital Markets and Structured Products) and to the Company Secretary. The lawyers that support the primary markets businesses review deal documentation for transactions executed by those groups. The Company Secretary acts as the primary liaison for the firm's Board & Board Committees, Executive and Management Committees and oversees a number of other corporate governance activities.  It is expected that the position will devote equal time to primary markets support and the corporate governance support.

Key Responsibilities:

The successful candidate will be responsible for:

 

Primary Markets Legal

  • Actively supporting lawyers covering the primary markets businesses
  • Reviewing and negotiating standard transaction documentation, such as confidentiality agreements, auditor representation letters, agreed upon procedures letters and engagement letters
  • Organizing and maintaining transaction records, such as closing documentation and due diligence files
  • Administrative work in connection with transaction management, including working directly with the front office and othersupport functions as necessary to facilitate transaction execution and internal recordkeeping requirements
  • Interacting directly with external deal counsel as necessary

Corporate Secretary

  • Actively supporting the Company Secretary in directing corporate governance processes, including adherence to internal governance rules, regulations and frameworks regarding Board-related activities, with responsibility for interacting with international and regional affiliates, as necessary
  • Managing scheduling, document preparation and logistics for Board-related and C-suite level meetings
  • General corporate housekeeping matters, which include: maintenance of corporate minute books; drafting minutes and corporate resolutions, including written consents; preparing officer/incumbency certificates, managing the firm's signing authority processes
  • Assist with the preparation of presentations, maintenance of the firm's internal policy portal and Corporate Secretary intranet portal page
  • Maintain complex calendars, interface with US and overseas staff for activities requiring coordination; maintaining and furthering excellent working relationships and coordination with the firm's regional parent company
  • Supporting the management of multiple projects owned by the Corporate Secretary

 

Skills and Experience:

  • 5+ years of experience in paralegal role handling a variety of time-sensitive tasks and communicating with senior-level Management and front office business groups in professional manner
  • Paralegal certification
  • Previous experience in supporting lawyers engaged in primary markets transactional work and CorporateGovernance experience (i.e., working with Executive Management, Board of Directors, etc.)
  • The ideal candidate will have experience as a paralegal (either in a law firm or in a transaction management capacity at an investment bank) in supporting primary markets transaction execution, including a familiarity with standard deal documentation, the ability to negotiate and revise documentation based on templates and precedent documents, the ability to work directly with front office business groups and external counsel and the ability to thrive in a fast-paced environment with an understanding of the requirements of primary markets transaction execution timelines
  • Exceptional communication skills (written and verbal) with advanced knowledge of word usage, grammar, sentence structure and paragraphing
  • Exceptionally well-organized with the strongest attention to detail
  • Technologically competent and highly proficient in Microsoft Office/Suite required (Word, Excel, SharePoint and PowerPoint) including the ability to prepare legal documents, red-line and produce final customized and formatted deliverables
  • Independence and initiative to drive and deliver activities autonomously when needed
  • Strong project coordination experience with the ability to multi-task and prioritize
  • Highly refined interpersonal and collaborative skills with strong professional poise
  • A good listener, tuned-in to cultural differences
  • Prior experience with BoardPad, Board Vantage or similar Board process management portal a plus
