Summary
The Corporate/M&A paralegal will assist lawyers by working on all aspects of transactional work, assist with research and document management. The position will require overtime and may include minimal travel.
Duties and Responsibilities
- Prepare and file documents for corporate, limited liability company and partnership formations, amendments, conversions, reinstatements, mergers, qualifications, dissolutions and withdrawals;
- Conduct searches for entity name availability;
- Prepare and file Form SS-4s to obtain EINs;
- Prepare basic organization documents, including initial stock subscription agreements, stock certificates and stock ledgers;
- Prepare organizational, annual, and special consents, by-laws, stock issuance and company record books;
- Prepare and maintain minute books and consents for limited liability companies, partnerships and limited partnerships;
- Prepare and file annual/biennial reports in various jurisdictions;
- Order status reports, good standing certificates and charter documents;
- Research state statutes;
- Coordinate research and filings with corporate service providers and Secretary of State offices;
- Order lien searches, review and prepare summaries;
- Prepare and file UCC statements, amendments and termination statements;
- Compile desk sets of precedent documents or SEC filings for members of M&A deal team;
- Prepare working group lists for M&A deals;
- Prepare drafts of ancillary documents for closings or other transactions;
- Assist with closings by assembling closing documents and signature pages;
- Prepare closing CDs of fully executed transaction documents;
- Proofread documents for consistency and grammar;
- Redact documents;
- Establish and maintain virtual data rooms through life of the transaction;
- Upload documents into machine learning software (e.g., Kira) used by M&A deal team in connection with due diligence reviews.

Education and/or Experience:
Required:
- BA/BS Degree
- 10 years of paralegal experience in Corporate/M&A transactional work at a law firm or corporate legal department
- Proficiency in Microsoft Office applications
Preferred:
- Paralegal Certificate from an ABA accredited program
