Arnold & Porter's Corporate and Finance practice is seeking a mid-level associate with experience in structured finance and derivatives for the New York, NY office.
Arnold & Porter's Structured Finance & Derivatives practice brings together a team of finance lawyers from our New York, Chicago, London, and Frankfurt offices, with extensive experience, not only in structured products and asset securitization transactions, but also in the related fields of bankruptcy, tax, securities, real estate, financial institutions regulation, and certain specialized industries.
Our team has represented clients playing various roles in all aspects of securitization and structured finance, both with respect to financial assets (e.g. residential and commercial mortgages, student loans, consumer/marketplace loans and secured equipment loans), as well as withrespect to tangible or "operating" assets under lease to end-users (e.g. aircraft, freight railcar, solar and other transportation or energy-related assets and equipment). These engagements include structuring, negotiating, and documenting individual loan/repo facilities and securities offerings backed by such assets; forming multi-seller conduits and special purpose vehicles; assisting in obtaining ratings; procuring and documenting related liquidity and credit enhancement and interest rate or currency hedges; and structuring and documenting acquisitions of assets (in connection withbusiness combinations or otherwise) with a view to concurrently or subsequently financing such assets through securitization. In these transactions we have represented a broad range of clients whether constituting issuers/borrowers, underwriters/placement agents, debt or equity investors (including private fund equity and subordinated tranche investors with respect to such financings), servicers/managers, trustees and other service providers. We have also represented clients in many of the largest and most complicated restructurings, portfolio sales and liquidations and government assistance transactions. With respect to derivatives, we have also had experience with synthetic structures that operate to transfer risk contractually without actual transfers of, or cash funding against, the underlying asset exposures.
Qualified applicants for this position must have a minimum of 3 years of prior legal experience working on structure finance and derivatives practice matters; strong research, writing and analytic skills; an ability towork independently and creatively; and an ability to work successfully as part of a team. All applicants should have excellent academic credentials and references.
