Job Description


Primarily responsible for managing and coordinating the maintenance and recordkeeping of the business entities and certain related securities filings for PulteGroup, Inc. (PHM) and its various subsidiaries and affiliates, including managing relationships with third party service providers. This position is also responsible for developing, implementing, and maintaining a business entity database and system.


* Primary responsibility for the formation, maintenance and dissolution of all business entities owned directly or indirectly by PHM -- including corporations, LLCs, partnerships and non-profit entities

* Preparation of documentation for amendments, withdrawals, mergers and dissolutions of entities and maintenance of physical minute books for all entities

* Maintenance of electronic records for entities and serving as database administrator for business entity database

* Maintenance of list of key license holders in each operating Division and signing authority resolutions for each jurisdiction in which PHM does business

* Collaboration with Tax, Finance, Treasury and other company functions to manage the dissolution of entities

* Assistance with the preparation of resolutions and materials for PHM Board meetings

* Assistance with development and implementation of company-wide policies and procedures relating to corporate governance and PHM share ownership

* Preparation and submission of SEC Form 144 and Section 16 forms and related documents; maintenance of records related to same

* Assistance with all aspects of Proxy Statement and Annual Meeting of Shareholders; primary liaison with transfer agent regarding shareholder lists and vote totals

* Preparation and filing of state and county trade name, assumed names, fictitious names and d/b/a filings


* Indirect management of cross-functional teams overseeing the entity formation and dissolution processes

* Coordination of designated signatories and license holders in each Division to ensure compliance with local laws

* Providing GC with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions, treasury transactions and public offerings

* Assisting with other special projects and duties as assigned

* Bachelor's Degree or equivalent education experience

* Paralegal certification a plus


* Related Functional Experience: Minimum of five years' experience as a paralegal or similar support position where the primary activity (over 50% of time) involved the management of business entities and subsidiaries of a public company

* Prior experience in SEC filings -- in particular Section 16 filings (Forms 144 and 3/4/5)

* Prior experience assisting with public company Proxy and Annual Meeting process and working with transfer agent

* Excellent communication, interpersonal and presentation skills required

* Demonstrated ability to proactively develop and build effective and collaborative working relationships to achieve business goals

* Demonstrated leadership abilities and project management skills

* Technology savvy with demonstrated proficiency in using Microsoft Office products, databases, web-based programs and cloud technology

* Ability to work independently with minimal supervision and be part of a team

* Experience designing and delivering training programs

* Strong organizational skills and attention to detail

* Ability to handle confidential information, prioritize to meet deadlines and work under pressure
