Job Description

SUMMARY:
The General Counsel will be responsible for providing legal support of the development and execution of a world-class strategic and business development plan.  The General Counsel will be responsible for all legal matters on a worldwide basis.  He/ She will also work cross-functionally to ensure compliance with policies and procedures.  A qualified candidate will be a JD with at least 10-15years of experience.  The General Counsel will have independent reporting responsibility first to the CEO and the Audit Committee of the Board of Directors.  

ESSENTIAL JOB RESPONSIBILITIES:
•Legal and business advisor to the CEO, Board of Directors, and other senior officers of the Company.
•As a part of the senior executive team, provide legal support for the development and execution of world-class strategic and business development plan, including negotiation and documentation of a variety of commercial transactions as well as possible partnerships, joint ventures, and/or acquisitions to fuel growth in existing as well as new markets.
•Provide expertise and advise the company on significant compliance issues, including anti-corruption, healthcare compliance, privacy, and FDA.
•Develop overall legal strategy; manage and administer outside counsel and in-house legal organization.
•Foster a quality-focused, cost conscious, continuous improvement culture within the company by advancing compliance methodologies with an eye toward simplifying processes
•Direct responsibility for governance and securities law matters, including SEC, NASDQ, and Sarbanes-Oxley compliance,  preparation of SEC filings, and Board communications..
•Counsel, advise, and assist with financings, tax, and revenue recognition issues.
•Oversee and support regulatory compliance and risk management practices and policies.
•Manage litigation strategy.
•Oversee the healthcare and Foreign Corrupt Practices Act compliance programs.
•Protect the company and its stakeholders by providing timely, accurate, and proactive legal solutions and guidance.  

Job Requirements

EDUCATION AND EXPERIENCE:
•J.D with excellent academic credentials from accredited law school.
•Minimum of 10-15 years of legal practice in-house and in major law firm practice highly preferred.
•Experience working with companies in the medical device, pharmaceutical or other regulated technology businesses or companies in health care related businesses highly preferred.
•Experience working with publicly traded companies as in-house or outside counsel beneficial.
•Demonstrated leadership and management experience with professionals and support staff.
•Experience and ability to articulate a well thought out plan and lead and work effectively as a leader and/or as a team member with cross-functional teams, legal department, senior management, and Board of Directors.
•Experience in manufacturing and distribution (including international), as well as in high tech or medical industries with IP portfolios preferred but not required.

SKILLS AND ABILITIES:
•Familiarity with  corporate governance and compliance, Sarbanes Oxley, SEC reporting, M & A
