The Deputy General Counsel (DGC) serves under the general oversight of the Chief Legal Officer (CLO) of University of Colorado Health (UCHealth) and acts in the CLO's absence with the authority of the CLO. The DGC supports the CLO in overseeing the day-to-day operations of the UCHealth Legal Department, including direct reporting relationship with most aspects of the Legal Department. In addition, the DGC will be a hands-on, day-to-day lawyer, actively and directly involved in, and responsible for, specific legal matters and areas coming before the Legal Department. The DGC will provide legal advice to the full breadth of clients comprising UCHealth (across multiple service lines), research and draft agreements and legal memoranda, negotiate transactions and agreements, oversee the assignment of matters, mentor the UCHealth legal team, work closely with the CLO in the strategic and tactical planning of the Legal Department, and oversee implementation of Legal Department priorities. The DGC will be actively involved in Legal Department priorities, including cultivating relationships with key stakeholders, selecting and managing outside counsel, and establishing and enforcing Legal Department policies. The DGC will serve as a trusted partner to the CLO and will be a key face of the office to constituents inside and outside of UCHealth. The DCG will office in the Denver Metropolitan Area.

Specific Responsibilities

· Oversees the development and implementation of policies, procedures, systems and related initiatives, subject to the general oversight of the CLO

· Assists CLO in providing coordination, direction and oversight of the UCHealth Legal Department, including strategic and tactical planning

· Assists the CLO in providing comprehensive legal counsel, representation, and oversight on the wide range of legal matters affecting UCHealth consistent with the organization's non-profit mission

· Protects UCHealth as an institution in part by identifying legal matters that present substantial institutional risk, or risk of impairment of UCHealth's reputation, or which threaten UCHealth's tax-exempt status or financial condition, and elevate these concerns for appropriate resolution

· Responsible for, and active legal advisor for, multiple programs or business lines

· Serves as a strategic advisor to system, hospital and service line leadership on significant legal areas and issues

· Leads the formulation and implementation of short-term and long-term goals and plans to improve the efficiency and efficacy of the Legal Department, including evaluating metrics and performance of internal and outside legal counsel

· Maintains knowledge of, and provides legal advice related to, the full range of healthcare law, including healthcare fraud and abuse laws, hospital/physician issues, complex contract negotiation and management, Medicare/Medicaid reimbursement issues, regulatory compliance, patient issues, employment law, contract law, nonprofit corporate governance, tax and medical staff issues

· Monitors changes in relevant legal areas and provides education to the legal and leadership teams as appropriate on substantive legal topics

· Represents UCHealth in structuring and negotiating certain transactions, such as mergers, acquisitions, affiliations, and joint ventures

· Coordinates and manages outside counsel in conjunction with the CLO and other Legal Department lawyers

· Assists the CLO in setting goals and evaluating members of the Legal Department

· Provides an important interface between the Legal Department and internal and external constituencies

  • Demonstrated outstanding judgment and a track record of serving as a key member of a complex organization; ability to influence major decisions having legal ramifications through reasoned analysis
  • A strategic thinker who can move fluidly between the big picture and details and who will bring pragmatism and a passion for UCHealth's mission
  • Ability to gain credibility with clients by consistently delivering an outstanding work product and thoughtful and practical counsel in a timely fashion

  • At least 10-12 years of relevant legal experience
  • J.D. required
  • Excellent academic achievement
  • A member in good standing of a state bar and prepared to become licensed to practice in Colorado, if not already
