Utilize balanced lawyering to negotiate, draft and close a wide variety of complex client contracts with existing and prospective clients, including master services agreements, nondisclosure agreements, and other legal documents, under limited supervision, while remaining consistent with ADP’s business practices, policies and goals.
Advise and provide negotiation support to contract business negotiators that are partnered on client contracts.
Conduct periodic training on the services agreements and the contract process in general for Sales and/or the business.
Assist in connection with responses to RFPs.
Provide general legal advice as required on other matters.
Bachelor’s degree and law degree (Juris doctorate) from an ABA accredited law school.
Bar membership required (Georgia Bar preferred).
Minimum of 5 to 7 years of relevant legal practice, preferably with a top law firm or corporation, with specific emphasis on contract negotiation, outsourcing, analysis and management of contractual risk and exposure.
Must possess a superior knowledge and application of contract and business law with strong legal analysis skills and judgment.
Excellent communication skills and the ability to work under pressure and meet critical deadlines are necessary.
Must demonstrate ability to be assertive while maintaining diplomatic and professional demeanor.
Demonstrated understanding of software, hardware, and technology agreements necessary.
