Position Overview

Synopsys has an outstanding legal department under the direction of the General Counsel and Corporate Secretary. The department includes about 50 people, including 31 attorneys worldwide.

The Corporate Legal Group within the legal department oversees a variety of corporate matters including M&A, securities, ethics & compliance, privacy, procurement, and more. The Corporate Legal Group is looking to hire a highly motivated attorney to manage and execute all legal aspects of Synopsys' strategic M&A transactions. The Corporate Counsel will be located in Sunnyvale, California. This is an excellent opportunity to become an integral part of the legal team at a Silicon Valley S&P 500 technology company.

Primary Roles and Responsibilities

  • Manage the legal aspects of strategic M&A transactions and investments globally, including acquisitions, joint ventures, equity investments.
  • Manage outside counsel
  • Work closely with Synopsys' Corporate Development group, Business Units, and accounting, tax, finance, treasury, and human resource teams.
  • Manage internal and external deal processes and drive continuous improvements and scalability in deal processes and execution.

This role would also provide support for other tasks in the Corporate Legal Department such as securities, board matters and subsidiaries.

Skills and Experience

  • 7 - 9 years of substantial M&A experience at a law firm or in a corporate environment;
  • Knowledge of securities laws is preferred
  • Strong interpersonal, verbal and written communications skills;
  • Self-reliance; sound legal and business judgment and attention to detail; good instincts and pro-active mindset and approach to issues; desire to continually improve procedures and processes
  • Desire to expand scope of responsibilities over time;
  • Local candidates strongly preferred.
