Job Description

Due to this growth, we have invested in this new position will mainly focus on Mergers and Acquisitions activity, and assist with corporate legal matters from time to time.

Essential Duties and Responsibilities

M&A Counsel will report to Ascensus’ General Counsel and have responsibility for the following matters:

  • Act as the Legal Department point person on all deal activities, including:
  • draft and negotiate the letter of intent
  • manage outside counsel
  • perform due diligence
  • negotiate the purchase agreement and other key transaction documents
  • advise management on key deal terms
  • assist with transaction financing
  • coordinate the closing process
  • assist with integration efforts and other post-closing matters
  • Handle other corporate legal matters, such as:
  • review and advise on Ascensus’ credit facility
  • assist with corporate governance
  • review, draft and negotiate contracts

Experience and Education

  • J.D. from an accredited U.S. law school
  • Membership in good standing with a state bar association
  • New York, New Jersey or Pennsylvania are preferred
  • Five to seven years as a practicing attorney
  • at least four years as a corporate associate in a law firm, focusing on mergers and acquisitions
