WHAT YOU'LL BE DOING:The Contracts Attorney will be responsible for managing a wide range of legal processes related to contract negotiations, document drafting, and legal compliance. They will provide legal expertise in commercial contracts, vendor agreements, and intellectual property rights. This role requires a strong working knowledge of contract law, regulations, and best practices, as well as professional liability insurance and limitations.
Once selected to join our team, you will: - Draft, review, and negotiate various contracts including service agreements, vendor agreements, licensing agreements, and non-disclosure agreements.
- Draft, review, and negotiate corporate agreements, including mergers and acquisitions, joint ventures, and partnership agreements.
- Provide legal advice and support to various departments and lines of business on contract matters.
- Ensure all contracts comply with applicable laws and regulations.
- Apply best practices to different types of professional services contracts and project contexts.
- Ensure compliance with professional liability insurance policy requirements and limitations to protect professionals from claims of negligence, errors, omissions, or breach of contract by their clients.
- Develop and implement company policies and procedures for contract management and administration.
- Collaborate with external counsel as needed to resolve complex legal issues.
- Assist in the management of the company's intellectual property portfolio.
- Advise on corporate governance matters and business strategies.
- Ensure compliance with all federal, state, and local regulations affecting the company's business.
- Manage corporate filings, records, and reports to ensure they meet legal requirements.
- Conduct legal research and provide training to the company on corporate legal matters.
KEY QUALIFICATIONS:KNOWLEDGE:- Strong understanding of commercial law and intellectual property rights.
- In-depth knowledge of contract law, regulations, and best practices.
SKILLS:- Excellent negotiation, drafting, and analytical skills.
- Strong communication skills, both written and verbal.
- Ability to work independently and manage multiple projects with tight deadlines.
EXPERIENCE:- 4-6 years of experience in contract law, preferably within a corporate environment.
EDUCATION:- Juris Doctor (JD) degree from an accredited law school.
- Admission to the state bar.
