Job Description :

We are a publicly traded company who is looking for a talented, energetic, and self-motivated corporate attorney with at least 5 years of experience. The candidate will be a member of the Corporate Law group and the office of the Corporate Secretary, with responsibilities relating principally to corporate transactional work, securities law compliance and matters of corporate governance. The attorney will work with the global law team, as well as with teams in Corporate Development, External Reporting, Human Resources, Internal Audit, Tax and Treasury.

Among other things, the candidate will be responsible for:

?    Preparing and distributing Board/Committee agendas and meeting materials

?    Preparing and filing SEC documents, including periodic and current reports and Section 16 forms

?    Assisting with the planning and execution of annual meetings of stockholders

?    Assisting with the administration of the corporate subsidiary management process in the U.S. (including, formation, maintenance and elimination of legal entities and qualifications), and coordination with the international team regarding subsidiary management internationally

?    Debt covenant compliance analysis and related reporting

?    Working with others across the organization to develop and maintain company corporate governance policies and processes

?    Providing other general assistance to the Corporate Law team related to, among other things, real estate, intercompany transactions and mergers and acquisitions.

We are seeking a candidate with the ability to work with all levels of management and staff who is comfortable working with and maintaining the confidentiality of sensitive materials.

?    Juris doctorate degree with a minimum of 5 years of experience obtained at a leading law firm and/or corporation

?    In-depth knowledge of corporate and securities law issues, including those relating to the SEC

?    Prior experience planning and coordinating annual meetings of stockholders of a public company

?    Experience using Diligent and hCue is preferred but not required

?    Experience using Microsoft Office (including Word and Excel)

?    Versatility, maturity and ability to work well with others

?    Strong interpersonal and oral and written communication skills

?    The ability to work independently and initiate and coordinate projects
