Review and ongoing maintenance of key contracts including Master Service Agreements, project bids & PO’s. Works closely with the Regional Counsel and commercial manager to develop strategies for terms and conditions, negotiating proposals, monitoring contract progress and change orders for projects. Review changes to the marketplace, industry and local laws and in consultation with Shawcor Legal adjusts contracts accordingly. Negotiates specifications and contractual provisions in accordance with company policies and legal requirements to ensure contracts are prepared in accordance with objectives to obtain the maximum profitability and sales volume while minimizing the risk to the company. Actively assist in post-award contract management to assist with the capture of full value from variations and manage claims and disputes. Significant role in reducing organizational risk and exposure. Review and negotiate a variety of contracts, including distribution, NDAs, and procurement.
Bid Support: Directly assist Western Hemisphere legal and commercial teams on large or complex proposals as required including RFIs, RFPs, contract bids, MSA’s. terms and condition, contracts, risk evaluations, etc. and, when requested, participate in contract negotiations with clients, suppliers and potential partners. Review variety of bids for Western Hemisphere. Upon request audit for compliance with company procedures.
Contract Review Support: Directly assist Western Hemisphere legal on the review and mark up of a variety of contracts, including distribution agreements, NDAs, procurement contracts, etc.
Post-Award Support: Help maximize the opportunity for profitability, while maintaining a professional relationship with our internal and external clients by actively managing post contractsupport, providing advice to business re contract interpretation including variation & change orders and negotiations, as well as resolution of disputes and claims with assistance of Legal Department.
Training: In consultation with Legal Department help prepare and deliver internal training on Company's Contracts standards and procedures. Maintain a working knowledge of current and future technical developments that would impact the bid and contract process.
Litigation: Provide contractual support to lower litigation risk. Where requested by Legal Department assist in preparation of litigation documents working with external counsel.
EDUCATION AND MINIMUM REQUIREMENTS
Must have 5+ years of relevant experience in contract law/contract management within the, oil and gas services, manufacturing or distribution industry.
Must have minimum of a Bachelor’s in a related discipline from an accredited university. A JD is highly preferred but not required.
Experience negotiating; distribution agreements, NDA’s, procurement contracts, contract for bids, purchase orders, & Master Service Agreements.
Experience with MS Office Suite and ERP systems.
Experience with handling areas of contract law and administration, operations and commercial principles.
Experience in handling and prioritizing deadline/time sensitive tasks.
Experience with developing and maintaining SOP’s and change management processes.
Ability to travel domestically & internationally – 20%
