International law firm is seeking Senior Associates, Of Counsels, or Junior Shareholders for its Capital Markets Group. The ideal candidate will have significant public company and other securities experience. Also should have substantial experience in public and private offerings of debt and equity, including initial public offerings and follow-on offerings, interfacing with the SEC and other regulators, and handling the ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks and proxy statements.
Experience in representing issuers is more desirable than representing underwriters, but experience with both representations would be beneficial. Other experience, such as with tender offers and S-4 registration statements, would be helpful.
Should have day-to-day experience counseling public companies, including with respect to corporate governance matters. Strong academic background, client management skills and superior drafting and negotiation skills. Portable business is not a requirement, but candidates must have the skills to retain and grow existing clients and relationships with the goal of eventually developing new business.
