Essential Functions

  • Communicating and coordinating with lawyers on our team, opposing counsel and clients to close transactions
  • Preparing guarantees, security agreements, officer's certificates, board resolutions, closing agendas and estoppel letters (with opportunities to prepare loan agreements and other more complex commercial agreements)
  • Performing, summarizing and analyzing PPSA and other customary financing searches and assisting with other forms of lending legal diligence
  • Preparing and registering Personal Property Security Act (PPSA) financing statements in all provinces of Canada
  • Preparing closing books
  • Maintaining a database of precedent agreements for use by the team in future transactions

Qualifications

  • 5 or more years' experience in banking and financial services law at a transaction-oriented law firm
  • An undergraduate university degree and/or a college Law Clerk diploma with excellent academic credentials
  • Strong analytical skills, attention to detail and a problem-solving mindset
  • Drive to take initiative and work independently but also thrive as part of a team
  • Energized by a fast-paced setting and able to prioritize competing tasks
  • Superior verbal and written communication skills
  • Excellent understanding of the PPSA and proficient at completing registrations and conducting searches.
