Our client is looking for an Associate General Counsel to provide support to the General Counsel on product and corporate related legal matters.

Responsibilities include:

  • Drafting, negotiating and advising on the full range of documentation relating to clearing, netting, settlement and collateral management across multiple OTC assets for a global customer base
  • Advising product management on structuring new products and workflows, including any regulatory implications
  • Working collaborativelywith outside counsel (product-specialist and corporate) on all initiatives
  • Transactional support on any client-related legal matters, including structural and risk issues
  • Work withRisk and Compliance team to further
  • Help with certain corporate related items such as implementation of a contract management and vendor management architecture, board
  • Participation in development and implementation of regulatory compliance policies and procedures and internal controls and other processes, both within and cross-line of business


  • 3-5years experience at a Tier 1law firm representing financial institutions working on OTC markets, trading, or commercial banking transactions
  • Experiencewith regulators, including CFTC and Federal and State banking regulators (e.g., Federal Reserve, OCC, state banking departments)
  • Familiarity withrisk and compliance including KYC, AML, BSA, USA Patriot Act, and OFAC regulations
  • Strong experiencewith OTC markets, including prime brokerage, trade lifecycle (credit/ISDA Master Agreement, clearing, netting and settlement)
  • Knowledge of the '33 Act & '34 Act, Dodd-Frank, bankruptcy and collateral issues, and bank regulatory issues (Reg K, Reg W)
  • LawDegree/Juris Doctorate and licensed to practice in New York
  • Motivated, self-starter who enjoys working in a team-oriented fast-paced environment
