MediaMath seeks to hire a highly motivated Associate General Counsel to provide first-class legal support for data and technology transactions globally. The Associate General Counsel will serve as the lead lawyer for the structuring and negotiation of data and technology-related partner and vendor agreements, as well as work with rest of the legal team to support the Company’s general legal activities, including both commercial transactions such as client SaaS licensing agreements and corporate transactions such as M&A, debt and equity financings; investments, labor and employment matters and compliance.

What you’ll do:

  • Serve as the global lead counsel advising the partnerships, data acquisition, media buying, product and analytics/reporting teams on all commercial matters
  • Review, negotiate and draft a broad range of agreements relating to the company’s various technology products, including its demand-side platform and data management platform
  • Provide legal support to the development teams for the development and roll-out of products and services
  • Review, draft, and negotiate a wide variety of commercial agreements, including master services, software licensing, SaaS, professional services, marketing and vendor agreements globally
  • Manage and advise on the company’s patent and trademark portfolio and other IP matters, including open source
  • Work with the development teams to review open source software licenses
  • Work closely with the company’s privacy and data policy and governance teams in support of commercial transactions globally
  • Collaborating with other members of the legal department to support the Company's general corporate legal activities, including providing support for mergers, acquisitions, joint ventures, partnerships, equityinvestments and other sophisticated transactions

What you’ll need:

Background

  • Law degree from a highly regarded law school and be admitted to at least one state bar
  • Minimum of 7 years of experience drafting, revising and negotiating contracts globally, with at least 5 years of data and/or technology transactional experience, in a law firm and/or in-house
  • Familiarity with data privacy and security a strong plus
  • Experience as an in-house attorney for a technology, online advertising, software and/or venture-backed start-up company preferred
