Who You Are
You are a scrappy, high-performing, and ambitious Corporate and Securities Counsel who is passionate about building and growing a business. You love working cross functionally across the company on general corporate matters, including M&A, securities, and venture capital, while also taking on a broad range of other legal issues, such as capital markets. You take ownership of vaguely defined objectives and drive it forward to achieve optimal outcomes. You are diligent and possess sound judgement and discretion, making you a trusted counterpart in sensitive environments. You have substantial securities, M&A, and corporate experience, with a collaborative demeanor and entrepreneurial, “can-do” attitude.
What You’ll Do
As Corporate and Securities Counsel, you will own and drive forward all corporate transactional work at HomeLight, including public company readiness, M&A, capital markets, and other strategic transactions. You will coordinate with legal, finance, and corporate development teams and external corporate counsel on the above. Specifically, you will:
Advise and drive process on all legal aspects of strategic and corporate finance transactions, including structuring and negotiating key transaction documents, managing due diligence, drafting offering documents and preparing securities filings.
Support various efforts related to corporate development, corporate governance, investor relations, and public company readiness.
Design and implement corporate policies, procedures, and controls required for private and/or public company compliance.
Prepare resolutions, presentations and other materials for Board of Directors and Committee meetings and advise leadership on corporate governance requirements and best practices.
Manage corporate structure and assist with subsidiary governance and international expansion.
Draft and negotiate agreements with the capital markets team.
Ensure compliance with the company’s credit facilities and lines of credit.
Help build a best-in-class corporate and securities function that can ultimately operate in a public company setting.
Answer questions and offer legal advice on a wide range of issues, projects, and initiatives across the company, including in areas such as equity / stock administration, employee education, and executive compensation.
Support ad hoc legal requests of almost every size and type.
What You Bring
5+ years of law firm and/or in-house general corporate experience, including M&A, venture capital, and securities compliance (in particular, SEC and stock exchange compliance, as well as ’34 Act and Section 16 reporting)
Corporate governance experience at a high-growth public company (a plus)
Ability to provide crisp, timely, and pragmatic legal advice and execute swiftly on many tasks
Excellent communication, project managing, and collaboration skills
Aptitude for maintaining strong working cross-functional relationships
Practical, creative, and proactive problem-solving skills
Bar Membership in good standing in the United States
