Handles a broad range of legal matters for Old Republic International Corporation (“ORI”), a publicly traded holding company, and its affiliates. ORI ranks among the nation’s 50 largest publicly held insurance organizations, with a substantial interest in major segments of the industry. The Company is primarily a commercial lines underwriter, serving many of America’s leading industrial and financial services companies as valued customers.
Essential Duties and Responsibilities include the following. Other duties may be assigned.
- Advise the Company on ’33 and ’34 Act and NYSE-listed company compliance.
- Assist management with corporate transactions, including mergers and acquisitions, and joint ventures.
- Oversee maintenance of corporate records.
- Advise the Company and its affiliates on compliance with insurance laws and regulations and represent them before various regulators, including state departments of insurance.
- Such other duties as may be assigned from time-to-time.

Education and/or ExperienceLawdegree with admission to or eligibility for admission to the Illinois Bar; 5 - 8years of experience in a sophisticated legal practice. Some in-house experiencepreferred but not essential.
Experience with insurance company representation preferred but not required .
Language Skills Ability to read, analyze, and interpret the most complex documents. Ability to respond effectively to the most sensitive inquiries or complaints. Ability to write speeches and articles using original or innovative techniques or style. Ability to make effective and persuasive speeches and presentations on controversial or complex topics to top management, public groups, and/or boards of directors.
Mathematical Skills Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages.
Reasoning Ability Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.
Computer Skills To perform this job successfully, an individual should have knowledge of Spreadsheet software, Word Processing software, and Internet software.
Certificates, Licenses, Registrations Illinois Bar or eligible for admission to the Illinois Bar.

Compensation Starting base salary commensurate with experience and qualifications, eligible for annual performance recognition bonus and stock option grant.
