Provides legal support to all levels of the Raymond organization as a member of the Raymond Legal Department.
Negotiate, draft and review complex legal contracts and other documents related to commercial, financial and operational matters.
Provide significant legal services in variety of areas including but not limited to M&A, intellectual property, and employment.
Counsel to ensure employment practices/policies and business transactions comply with all relevant laws and regulations.
Draft, review and manage corporate documents, including shareholders consent, resolutions, BOD minutes, etc.
Handle and/or support various types of litigation and disputes and ensuring that appropriate risk management strategies are in place.
Review and support corporate Code of Conduct and corporate compliance activities.
Manage the selection, coordination, retention and evaluation of outside counsel, as applicable.
Keep informed of industry-specific regulations and standards.
Consulting with internal business, commercial, tax, finance, and marketing associates.
Juris Doctor (JD) Degree
Relevant Experience / Background in Human Resources a strong plus
License to practice law within the U.S. New York license preferred.
Five to eight years of progressive experience with a major law firm, or corporate law department.
Strong academic record.
Significant exposure to and or familiarity with the following areas of law: Employment, M&A, compliance, dealer relationship/franchise, contract, real estate, intellectual property, litigation, privacy and anti-trust.
Experience in working on matters of corporate governance, preferably with a Board of Directors.
Proven verbal and written communication and interpersonal relationship skills
Experience with all Microsoft Office Products
Flexibility and creativity in developing legal, business and policy positions
Ability to organize and prioritize competing projects.
Ability to maintain confidentiality of records and discretion in all situations.
