General Role Description

Design, develop, implement, and manage the Company's comprehensive risk management strategy and policies to enable achievement of the Mid-Range Plan (MRP) objectives over a three to five year time horizon and enable long-term, healthy, sustainable, and profitable growth of the Company

Role Accountabilities

  • Identify and analyze legal relevance of business and commercial issues proactively; develop and recommend position, policies, and practices to avoid and address legal concerns
  • Counsel the Company’s sales and business teams in the negotiation of contract terms that are balanced in the allocation of risk, recognize realistic divisions of responsibility between client and the Company, and afford the Company the liability protections consistent with the contracts risk management policy 
  • Counsel Company management on matters related to potential and actual litigation
  • Identify and analyze risks and trends in client contracts and risk positions to drive both minimal-riskcontract content and successful sales team strategy development to secure orders
  • Develop, recommend, and implement, as approved, contract and regulatory compliance policy and procedural improvements for optimal risk reduction and commercial success
  • Lead complex contract negotiations in commercial transactions for capital goods, industrial equipment, and services, as needed
  • Counsel group company and parent company regarding risk activities
  • Maintain and continuously improve the relationship between the function and the Company’s sales and business teams by which orders strategies are implemented and contract terms negotiated effectively
  • Ensure appropriate risk mitigation through systematic risk assessment and risk mitigation tools and processes
  • Build and sustain productive relationships with Company, group company and parent company contacts to ensure timely and accurate communication of issues, concerns, and requests for assistance are acknowledged and subsequently addressed
  • Develop and execute global business strategies and initiatives and secure expert input on contract issues in cooperation with Company, parent company and other group company executive leadership and peers
  • Build and sustain a world-wide executive network of contacts to influence and maintain a favorable business climate
  • Develop relationships within a network of internal, domestic and international company contacts to coordinate and influence securing the resources needed for implementing the Company's strategies 
  • Formulate and execute Company strategic objectives and initiatives, consistent with Company vision, mission, strategic guidelines, and core values, as a member of the strategic process team 
  • Proactively and positively promote and exemplify the TMEIC brand to internal and external contacts, and the general public
  • Ensure compliance with all Company and Parent Company policies, practices, and procedures, and all regulations and laws in all areas where the Company operates
  • Plan and execute projects to aid in improving and growing the Company and parent company to meet goals set by the Company and parent company executive leadership
  • Build and lead a world-class team by promoting and instilling a culture of superior performance, ethical conduct, professional development, and personal learning, through effective managerial leadership
  • Ensure the team has a clear and compelling vision of ”what great looks like” and a plan to achieve it
  • Ensure the Commercial Operations’ structure, processes, technology, services and products are designed to deliver the strategic intent of the function
  • Guide the efforts of direct reports in the development and implementation of current and long-range objectives, policies, and procedures
  • Position the function to support the achievement of the Company’s vision, strategic initiatives, and business strategy and objectives on a global basis, by collaborating with business leadership to define requirements for achievement
  • Report results as scheduled, requested and deemed necessary to Company and parent company management, including commentary and analysis, and identification of key items requiring management attention
  • Determine the budget and business resources required for contracts risk management in coordination with appropriate Company, group company, and parent company personnel

Minimum Qualifications

  • Juris Doctorate with contractlawconcentration from an accredited law school
  • 5 years of in-house corporate lawexperience, including commercial contract negotiations for industrial equipment and services transactions
  • Demonstrated success leading contract negotiations in sales transaction process
  • Demonstrated experience analyzing and editingcontract documents in transactions for the sale of capital goods
  • Demonstrated extensive knowledge of US and international contractlaw
  • Demonstrated successful and positive personal leadership, interpersonal, organizational, administrative, and communication skills
  • Demonstrated successful working relationships with clients, suppliers, and otherinternal and external contacts
  • Demonstrated continuous improvement in areas of responsibility
  • Proficiency in MS Office
  • Availability to travel, domestically, up to 25%, and internationally, occasionally, with limited notice

Preferred Qualifications

  • Demonstrated knowledge of electrical, mechanical or related engineering disciplines via education or work experience
  • Demonstrated knowledge of the principles of international contracts
  • Demonstrated success leading international contract negotiations in sales transactions for industrial equipment and services
