In this role, you will have day-to-day experience counseling public companies, including with respect to corporate governance matters. Strong academic background, client management skills and superior drafting and negotiation skills.
In this role, the selected candidate must have extensive hands-on experience structuring, negotiating and closing M&A transactions, conducting due diligence, and/or negotiating and drafting commercial agreements.
Focus will be on the representation of public companies and financial institutions (broker-dealers, investment advisors, private funds) in representing clients in securities class actions and other claims brought under the securities laws, business disputes, shareholder and partnership disputes and defense claims brought by securities investors in state and federal court as well as in arbitration proceedings.
You will be responsible for all legal matters during the course of production, including evaluating rights issues, advising on more complex clearance matters, guild issues, and promotion and publicity issues.
Developing Operational Knowledge. Developing a functional understanding of the complex IT architecture of $16B global consumer products business, including major ERP, financial reporting, warehouse management, traffic management and other major IT systems.
Provide legal advice and support to the Lincoln Financial Group business segments, including SEC-registered investment adviser, that are responsible for providing investment management services to proprietary mutual funds and separate accounts.
In this role, the selected candidate should have familiarity with M&A, venture capital and commercial finance. Representation includes debtors and creditors, including private equity firms, investment and mezzanine funds, investment and commercial banks, finance companies and alternative lending sources, in virtually every type of financial transaction.
