Focus will be on the representation of public companies and financial institutions (broker-dealers, investment advisors, private funds) in representing clients in securities class actions and other claims brought under the securities laws, business disputes, shareholder and partnership disputes and defense claims brought by securities investors in state and federal court as well as in arbitration proceedings.
The position will involve working on a variety of interactive games and digital media transactions, including structuring, drafting, negotiating and closing license and sublicense agreements and amendments, co-dev and publishing agreements, vendor agreements, rights clearance, digital content licenses, and nondisclosure agreements.
As a Trial Attorney within our house counsel organization, you will be a member of our insurance defense litigation team, providing legal representation to Progressive insureds and/or to the Progressive Insurance Companies before courts and arbitration panels in all aspects of litigation.
The Patent Attorney must have a degree in Computer Science or Electrical Engineering with work experience as a software developer, excellent academic credentials, and must be registered to practice before the USPTO.
Draft, review, revise and negotiate terms and conditions on a broad range of commercial documents and contracts/agreements (e.g. sale, service, supply, purchase, distribution, lease, warranty, indemnification), ensuring that the writings appropriately address business and legal needs.
In this role, the selected candidate must have extensive hands-on experience structuring, negotiating and closing M&A transactions, conducting due diligence, and/or negotiating and drafting commercial agreements.
You will serve as a primary attorney for a Research & Development Incubator function, and partner with your clients to develop, manufacture, market and distribute cutting-edge products and services worldwide.
