The Performance Engineer will be a member of the Master Data Management (MDM) Architecture Team; he or she will report to the Chief Architect and work with technical leads to improve the design, operations and performance of the MDM system.
Responsibilities will include drafting, negotiating and advising on the full range of documentation relating to Capital Markets and M&A transactions (including underwriting documentation, private placement and M&A engagement letters, fairness opinions, consent letters, transactional proxy disclosure and confidentiality agreements).
Providing legal guidance and expertise to the Investor Services business teams including general advice and negotiation and drafting of transaction documentation and contracts. Providing legal guidance and support to other segment teams as needed.
Structure, draft and negotiate to closing various technology, intellectual property and other agreements, such as software licenses, maintenance agreements, outsourcing agreements and professional services agreements.
Demonstrates a high degree of client acceptability, with a high level of confidence exhibited in client interactions. Possesses excellent client-service skills and an ability to interact with and effectively advise senior business leaders, such as Presidents, Vice Presidents, and heads of Human Resources.
Provide legal advice regarding compliance with applicable state and federal laws and regulations, including issues related to the provision of medical services, HIPAA, the Anti-Kickback Statute and Stark Law, licensing laws, labor and employment laws, anti-trust concerns and tax exemption matters. Communicate such advice in a clear and easy to understand manner.
Provide primary legal advice and support to the finance and treasury departments on a wide variety of transactional and statutory compliance issuesSupport QBE North Americas corporate governance processes, by assisting the Company Secretary with matters related to divisional corporate boards and committees, including development of agenda, board materials, and record-keeping.
Review, draft, negotiate and administer a variety of high volume complex business transactions and contracts. Communicate and negotiate with customers to resolve discrepancies and disagreements effectively.
Provide day-to-day legal advice to faculty and administrators in connection with all research compliance matters, including NIH and other government research sponsor requirements, audits, inspections and investigations.
