This real estate attorney will be responsible for drafting real estate documents including leases as well as corporate documents (corporate resolutions, bylaws, shareholder agreements, loan documents); contract review; and preparation of commercial real estate contracts, leases and handling zoning, environmental, and title issues.
The ideal candidate will have at least 5 yrs experience of traditional corporate securities practice; experience with public and private securities offerings and securities reporting and mergers and acquisitions.
Ensuring appropriate investigation of the underlying facts and circumstances is carried out, proper experts are retained and utilized where necessary, selection and utilization of counsel is appropriate, proper negotiation strategy is employed.
The Attorney who will be connected to our Orlando Staff Counsel Office but will work in the Volusia or Marion County, as this is a REMOTE ATTORNEY position, meaning that the Attorney will predominantly work out of his or her home and handle cases primarily in Volusia, or Marion Counties.
The ideal candidates should have State and some Federal litigation experience. Florida Bar admission is required- or the willingness to sit for the next bar exam. Client contact, travel and significant responsibility are provided within this exciting practice area.
In this role, the selected candidate should have familiarity with M&A, venture capital and commercial finance. Representation includes debtors and creditors, including private equity firms, investment and mezzanine funds, investment and commercial banks, finance companies and alternative lending sources, in virtually every type of financial transaction.
In this role, the selected candidate must have exposure to public companies, blue-chip developers, national banks and other sophisticated business clients in complex commercial real estate and corporate transactions along with representing entities involved in various commercial real estate and business transactions, including real estate purchases and leases, constructioncontracting and financing.
