The Position of Employee Benefits Legal Counsel will report directly to the Deputy General Counsel of HR/Labor and Employment & Chief Privacy Officer and will provide day-to-day counseling and support on Allegions U.S. employee benefits plans and compensation programs. This role will also work closely with relevant business leaders on corporate M&A matters.
The position will be responsible for legal corporate affairs including but not limited to corporate governance, contracting, liability and risk management, insurance, trademarks, protection of company assets, trade secrets, proprietary business practices, product and marketing content review and other general business activity requiring legal assessment and contributions.
This position will be responsible for proactive guidance on a wide variety of transactional matters,including but not limited to: product development, procurement, technology, marketing, supplier and distribution agreements, dealer arrangements, service agreements, strategic accounts, fraud related matters, program/policy based initiatives, non-disclosure and confidentiality agreements, and other legal duties as assigned.
Strong negotiator with good business acumen and creative problem-solving skills, who is well-versed in structuring and drafting agreements, including commercial, licensing and other technology agreements
In this role, you will develop, implement and train employees on policies, procedures and templates to ensure compliance with company Privacy Rules, our General Business Principles and other applicable laws.
In this role, you will manage and update all employee handbooks and on-boarding paperwork and assist with the development, implementation and updating of legal policies, procedures and practices in coordination with senior leadership.
Drafting and negotiating commercial license agreements, confidentiality terms and conditions and other required binding agreements for b2b products and services, including data and other information, software, web-based solutions and professional and consulting services.
In this role, you will maintain the trademark database and files by checking for accuracy of due dates for all trademarks worldwide and provides adequate and timely reminders to external counsel and internal departments.
This position is responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for companies and clients, including marketing agreements, entertainment agreements, license agreements, real estate leases, confidentiality agreements, and other general business contracts both domestically and internationally.
The Legal Counsel, Corporate Transactions will provide legal support and counseling for a broad range of complex transactions on behalf of the Company, including public and private mergers and acquisitions, joint ventures, and complex corporate licensing, research collaboration, business development, and manufacturing and supply transactions.
