The paralegal will assist with all aspects of transactions from inception through the closing and post closing phases. Responsibilities will including preparing and handling UCC filings, forming and qualifying business entities, preparing closing documents, attending closings, preparing closing binders and following up on all post closing aspects of the transaction.
Have excellent drafting, writing and analytical skills, accurate and strong attention to detail, high level of organization, strong verbal and interpersonal skills, and ability to manage multiple projects.
In this role, the selected candidate will prepare and process requests for provider contracts, letters of agreement, contract amendments, and notices; review provider documents, including provider application, attestations, and credentials.
The candidate should possess excellent word processing, solid writing skills and the ability to work well with others; experience with corporate and transactional matters is preferred, including corporate filings, but willing to provide training to the right candidtate.
In this role, the selected candidate must have an experience assisting in preparing regulatory filings, including proxy statements, as well as preparing and drafting regulatory documents using a content management system.
Handling all necessary aspects of a bank closing; read and clear title exceptions; must be familiar with loan document & CD, daily client and bank/ mortgage broker contacts, perform due diligence of co-ops/condos, ordering payoffs, answering phones and returning calls.
The PCS Paralegal must possess strong communication skills and be able to interface successfully with Firm clients, partners, and associates as well as attorneys and professionals from other law firms, companies, financial institutions, foundations etc.
Work with Printing to create indexed binders in a user-friendly format of all relevant public findings. Copy and paste key provisions (i.e,. post-termination option exercise periods, treatment upon a change in control, governing law & venue, etc.) from various comp-related diligence documents and/or public filings into a summary chart (or other requested format).
Successful Candidate should be able to work independently with excellent client service, written and verbal communication skills; organizational skills; ability to meet deadlines and manage multiple tasks.
