Direct the maintenance of the Companys legal structure by executing on a strong knowledge of corporate organizational principles (e.g., corporate form, shareholder and board matters, powers of attorney, etc.) to ensure the proper preservation of the Companys 70+ legal entities located throughout 20+ countries.
The Associate General Counsel will have responsibility for several substantive areas, including corporate governance, SEC reporting, and SEC and NYSE compliance, as well as oversight over the Companys strategic intellectual property efforts and substantial involvement business development and commercial activity.
Provide assistance and support to the SVP GC as to all matters requested, including assisting with corporate transactions, joint ventures, sales/acquisitions, divestitures, affiliations, and other transactions, including drafting of legal documents, coordination of transaction agenda, and due diligence.
Collaborates with senior leadership and all levels of caregivers to create a culture of risk prevention and risk management with emphasis on performance improvement initiatives to redesign the processes and/or underlying systems to minimize risk of undesirable outcomes or to protect patients from the effects of undesirable outcomes.
Assist General Counsel and staff with daily activities for the office of General Counsel which includes all typing, maintaining legal files/systems, scheduling meetings, managing complex calendars, timekeeping and any special projects or assignments.
Work closely with business leaders and the companys Strategy and Finance teams on matters of strategic importance to the Company, such as merger & acquisitions, corporate financings and restructuring, and general commercial opportunities.
Respond to common inquiries from parents and the community and problem solve and communicate effectively; carry out supervisory responsibilities in accordance with the organizations policies and applicable laws.
