The Corporate Attorney is primarily responsible for providing legal counsel on a variety of general business and employment issues; advise and work alongside employees in Human Resources to develop company policy and position on legal issues.
Manage a case load of patent litigation matters involving Toyota Motor North America and/or its affiliates (collectively, TMNA), in the U.S. federal courts, administrative patent proceedings in the Patent Trial and Appeal Board, and International Trade Commission, as well as pre-litigation patent claims and demands, directly and/or in close coordination with our Japanese parent company, Toyota Motor Corporations (TMC) intellectual property division based in Japan.
Drafting, negotiating and reviewing agreements related to distribution, marketing and/or sales of motor vehicles and their parts and accessories, including leasing of vehicles to dealers or other third parties for special programs.
In this role, you will be responsible for providing superb attention to detail and the ability to ramp-up quickly in new environments and teams.
Maintaining a high level of professionalism and outstanding business judgment.
Reporting to the General Manager - Assistant General Counsel for Product Law, the person in this role will support the department's objective to support and lead product liability litigation for Toyota Motor North America, Inc. and certain affiliates.
The Counsel will provide legal advice and support for commercial real estate transactions in both the United States and Canada, including providing assistance in one or more of the following areas: drafting and negotiating commercial real estate transaction documents and ancillary documents.
In this role, the selected candidate will be under the direction of Assistant General Counsel, Commercial, provide legal counsel, advice and guidance for the Companys designated commercial operations in the CALA and NAR Regions.
In this role, the selected candidate must have experience with utility franchise agreements, including ensuring terms and provisions meet business needs and comply with equitable and nondiscriminatory provisions of federal law.
Must have negotiation skills to set up legal transactions/settlements and ensure the Companys interests are represented; arbitration and counseling skills are required to resolve issues, advise others and settle claims.
In this role, you will identify and analyze legal, regulatory, governance, structuring, and similar issues, ensure business partners are appropriately informed of the issues, provide advice and recommendations with respect to the issues, and assist in the resolution of the issues.
In this role, you will be responsible to draft, review and negotiate vendor contracts. Negotiate with vendors business and legal teams. Provide advice and counseling to category and sourcing managers for their vendor contracts and legal matters as needed.
